Operational Annex
This document covers the operational details of how Bread Cooperative runs — membership, responsibilities, and financial governance.
Member projects
Section titled “Member projects”Member projects are the organisations that make up the Bread Cooperative network.

Eligibility
Section titled “Eligibility”To become a member project, an organisation must be active, have familiarity with web3 tools, and have demonstrated work on one or more of Bread Cooperative’s guiding principles. A potential new project must be nominated by an existing member, fill out the application form, provide information about themselves, and have a representative available for monthly governance calls. New projects are only added upon unanimous vote from the whole group.
Responsibilities
Section titled “Responsibilities”All member projects must have at least one representative attending monthly governance calls, providing updates, and contributing to the forward movement of the cooperative. Representatives should not miss more than one consecutive call without having a replacement present.
Onboarding
Section titled “Onboarding”All new team members will learn the necessary skills for using our technological infrastructure, including how to use an Ethereum wallet, store a private key, bridge between chains, and use the Bread Solidarity Fund.
Exit and removal
Section titled “Exit and removal”A member project may leave at any time with written resignation. After resignation, Bread Cooperative and the project have 30 days to complete the necessary offboarding steps. Member projects may also be removed by democratic process for not meeting membership requirements, becoming inactive for three or more months, or conducting activities that conflict with the guiding principles.
The removal process:
- The initiator speaks to at least two others in the group to gauge support for a resolution session
- If two others support scheduling a session, one is arranged
- The first session focuses on understanding the issue and identifying actions the project can take to address it
- A month is allowed for those changes to be made
- A second session evaluates whether appropriate changes have been made, followed by a majority vote on removal
Financial
Section titled “Financial”The primary shared treasury wallet is gno:0x6A148b997e6651237F2fCfc9E30330a6480519f0. These funds are used at the discretion of the majority of project leads to advance the vision of Bread Cooperative — including grants, event sponsorships, and funding for specific initiatives. The wallet includes one representative from each member project, and transactions require a majority of signatories to approve.
Bread Core Team
Section titled “Bread Core Team”The Bread Core Team includes those actively contributing to the day-to-day work of Bread Cooperative — development, design, writing, marketing, and everything else within the core team’s remit.
Eligibility
Section titled “Eligibility”Joining the core team requires having first contributed as a non-core contributor, then being nominated by an existing core team member who has worked with or reviewed their contributions. As long as there are no objections, they can be added.
Responsibilities
Section titled “Responsibilities”Core team members are expected to join the weekly standup as often as possible, track tasks, and keep the rest of the team informed of progress and blockers.
Removal
Section titled “Removal”A core team member may leave at any time. A member can also be removed for being inactive or failing to communicate for over 30 days, after receiving a written warning. Removal by the group requires a majority vote following due process, with a neutral third party available if needed for conflict resolution. Removal includes removal from the shared treasury wallet, relevant chat groups, and ending of wages where applicable.
Financial
Section titled “Financial”The core team treasury wallet is gno:0x918dEf5d593F46735f74F9E2B280Fe51AF3A99ad. These funds are used for development, marketing, tooling, and other work deemed necessary by the team. Monthly wages are set democratically, balancing member needs with available runway, and revisited every three to six months.
